How to Choose a Software Development Agency: 5 Criteria, a Checklist and 8 Questions to Ask

What's at stake when you hire a software development company

Your software development agency shapes your product, your data and your valuation for years. Get it right and you gain an engineering team without the hiring overhead; get it wrong and you inherit code you can't maintain and data you don't control.

This guide helps founders and CTOs compare software companies on what actually matters, with a checklist, scoping questions and real case studies.

For companies that have outgrown off-the-shelf tools but aren't ready to hire a full engineering department, a focused agency is usually the best fit.

5 criteria for evaluating a software development company

1. Technical expertise. Ask who will actually write your code and what they built in the last year. Look for a team that covers the app, integrations, data warehouse and analytics, so you don't end up stitching together three vendors.

2. Sector experience. Travel needs real-time pricing and booking flows; pharma needs validated, audit-ready clinical data; eCommerce needs order, catalogue and attribution data unified. Ask for a case study in your sector and a reference call.

3. Data and IP ownership. Your contract should give you the source code, documentation and data from the first commit. Prefer deployment on cloud accounts and repositories you control, with no proprietary frameworks that create lock-in.

4. Compliance. Match the agency's track record to your obligations: HIPAA for US patient data, GDPR for EU data, and India's DPDP Act for Indian personal data. Ask who has production access and how it is logged.

5. Delivery model. For cross-border teams, confirm time-zone overlap, demo cadence and direct access to engineers rather than only an account manager.

Fixed-price vs time-and-materials

Fixed-price suits clearly scoped work; time-and-materials (T&M) suits exploration. Many teams combine them: a fixed-price discovery phase, then fixed-price milestones.

The main risk of fixed-price is a padded quote or rigid change control. Protect yourself with clear acceptance criteria and payments tied to working software.

Procurement checklist

  • Written problem statement, budget range and compliance needs
  • Two case studies in your sector, plus two reference calls
  • Named team members and their weekly time on your project
  • Clear commercial model with milestone payments
  • Fair change-request process and rate card
  • Full IP assignment of code, documents and data
  • Deployment on infrastructure and repositories you own
  • NDA, data processing agreement and BAA if needed
  • Acceptance criteria for each milestone
  • Post-launch support, warranty and exit plan

8 questions to ask during scoping

  1. Who exactly will work on our project, and for how many hours a week?
  2. What is your most similar recent project, and what went wrong?
  3. Will code, data and infrastructure sit in accounts we own from day one?
  4. What is fixed in your fixed-price quote, and what triggers a change request?
  5. How did you handle the last project that ran over budget?
  6. How do you handle personal or patient data in development and testing?
  7. What does handover look like if we end the engagement?
  8. Who supports the platform after launch
